\n\t\t\t\t\t\t\t\t\tValidit\u00e0 delle condizioni:<\/b> Le \u201cCondizioni generali di vendita\u201d, ove non diversamente concordato espressamente e per iscritto, vengono applicate a tutte le nostre consegne e prestazioni, sia nei confronti di privati che di intermediari, verso questi ultimi anche nel caso in cui, sussistendo uno stabile rapporto commerciale, non si dia pi\u00f9 seguito ad un successivo riferimento scritto. Le condizioni di vendita del cliente non valgono nei nostri confronti. Le condizioni e prescrizioni di diverso tenore riportate sulla corrispondenza del committente, hanno valore solo nel caso in cui vengano da noi accettate per iscritto. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t\nContratto di fornitura:<\/b> Le nostre offerte si intendono sempre non vincolanti riguardo a possibilit\u00e0 di consegna e prezzo.\nIl contratto di fornitura si conclude soltanto con la nostra conferma d\u2019ordine scritta. Qualora, in seguito ad un ordine del cliente, venga effettuata la consegna della merce senza una preventiva conferma d\u2019ordine scritta, il contratto \u00e8 da ritenersi concluso tramite la consegna della merce. \n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\tTermine di consegna e spedizione:<\/b> I tempi di consegna incominciano a decorrere dal giorno della completa definizione degli ordini, relativamente a condizioni d\u2019ordine ed esecuzione, e valgono con riserva di corretto e puntuale approvvigionamento delle materie prime. In caso contrario, abbiamo facolt\u00e0 di recedere dal contratto senza obbligo di risarcimento dei anni. Se il cliente \u00e8 un privato ci\u00f2 \u00e8 tuttavia possibile soltanto nel caso in cui sia stata stipulata da parte nostra una concreta perazione di copertura e sia mancato, a nostra volta, l\u2019approvvigionamento nei nostri confronti.\nSar\u00e0 nostra cura dare immediata comunicazione al cliente del mancato approvvigionamento e rimborsare i pagamenti gi\u00e0 effettuati. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t\nIl cliente \u00e8 obbligato a ritirare la merce ordinata presso la fabbrica fornitrice, nella data comunicata.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\tQualora il cliente non effettui il ritiro della merce ordinata alla data confermata e sia un intermediario, \u00e8 tenuto a pagare \u20ac 1,- per ogni giorno solare di giacenza e 100 kg.
\nNell\u2019eventualit\u00e0 che sia stata concordata una data di ritiro fissa, saremo da considerare in ritardo al superamento colposo o intenzionale di un termine di 14 giorni. Decorsi i 14 giorni, il cliente pu\u00f2 fissarci una proroga di lteriori 14 giorni.Trascorse queste 4 settimane, il cliente \u00e8 autorizzato a recedere dal contratto. \n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\tL\u2019obbligo di mantenimento di determinati termini di consegna decade in caso di forza maggiore, misure sovrane, conflitti di lavoro, guasti, rotture di macchinari, impedimenti al trasporto, carenza di materie prime, scarto di un pezzo in lavorazione e similari, nella misura in cui non siano a noi imputabili. Finch\u00e9 il cliente \u00e8 in arretrato con i pagamenti, il nostro obbligo di consegna rimane sospeso. Qualora non sussista da parte nostra intenzionalit\u00e0 o grave negligenza, il\ncliente non \u00e8 autorizzato a far valere nei nostri confronti pretese di risarcimento dei danni per ritardata consegna.Qualora si sia concordata la spedizione della merce, ci\u00f2 verr\u00e0 riportato sulla fattura del cliente secondo le sue istruzioni.La merce viaggia a rischio del cliente. \n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Denuncia di irregolarit\u00e0, garanzia, responsabilit\u00e0<\/b>: Tutti i difetti evidenti, gli errori di quantit\u00e0 o le consegne errate devono essere denunciati per iscritto immediatamente o al pi\u00f9 tardi 8 giorni dopo il ricevimento della merce, se il cliente \u00e8 intermediario, entro 2 settimane se il cliente \u00e8 un privato e comunque prima dell\u2019ulteriore lavorazione, posa in opera o trasferimento; in caso di difetti non evidenti, dopo la loro scoperta, al pi\u00f9 tardi tuttavia due anni dopo il ricevimento della merce. Il controllo della merce deve essere effettuato immediatamente all\u2019atto della consegna. I difetti non puntualmente denunciati si intendono come irrevocabilmente accettati. In caso di posa in opera all\u2019aperto, la resistenza al gelo non pu\u00f2 essere garantita per tutti i materiali. \u00c8, pertanto, necessario effettuare delle richieste preventive sulle caratteritiche del materiale. Il materiale contestato non pu\u00f2 essere ulteriormente lavorato senza l\u2019approvazione scritta, decadendo in tal caso qualsiasi diritto alla garanzia. La nostra merce \u00e8 costituita da prodotti naturali. Per tale ragione le difformit\u00e0 ottiche o strutturali rispetto ai campioni non sono da considerarsi un difetto. I campioni lasciati al cliente possono indicare solo in generale i colori e la struttura della pietra, non ci si assume pertanto alcuna responsabilit\u00e0 sul fatto che le risultanze in colore e struttura non coincidano esattamente con quelle del campione esistente. Il nostro obbligo di garanzia si limita, a nostra discrezione, alla sostituzione della merce, al recesso, alla riduzione del prezzo o all\u2019adempimento supplementare.In caso di fallimento dell\u2019adempimento supplementare, il cliente ha diritto alla riduzione del prezzo o al recesso. Propriet\u00e0 particolari del materiale, ad es. la resistenza al gelo e al caldo e altre, vengono garantite solo se confermate per iscritto da parte nostra. Siamo responsabili, a prescindere dal motivo giuridico, per l\u2019intero ammontare del danno, in caso di violazione di obblighi fondamentali del contratto, in caso di premeditazione, grave colpa propria e del dirigente, nonch\u00e9 per qualsiasi violazione della vita, del corpo o della salute, provocata intenzionalmente o colposamente. Altrimenti siamo responsabili solo limitatamente al valore della fattura del rispettivo oggetto contrattuale.
Condizioni di pagamento<\/strong>: I prezzi si intendono non vincolanti, in Euro franco fabbrica. Le offerte valgono, con riserva di definitiva conclusione del contratto, solo tramite nostra conferma d\u2019ordine scritta. Qualora per motivi che non siamo tenuti a giustificare, dovesse subentrare una variazione dei costi di allestimento del materiale, ci riserviamo di ettificare i prezzi di conseguenza. Ci\u00f2 non vale nel caso in cui il cliente sia un privato. Le nostre fatture, se non concordato iversamente, devono essere saldate entro 10 giorni dalla data fattura, senza sconto, senza spese. In caso di ritardato pagamento saremo autorizzati ad addebitare gli interessi di mora secondo le disposizioni di legge. La rivendicazione di un maggiore danno \u00e8 riservata. Ci riserviamo di esigere pagamenti anticipati in contanti o prestazioni di garanzia per contratti anche gi\u00e0 confermati, prima della spedizione o messa a disposizione delle merci, se ci\u00f2 rappresenta, a nostra discrezione, la garanzia del prezzo concordato. Inoltre, in caso di difficolt\u00e0 di pagamento da parte del cliente, possiamo mettere immediatamente in scadenza tutti gli importi di fattura aperti o differiti e\/o esigere un pagamento in contanti o prestazioni di garanzia a fronte della restituzione di cambiali accettate come pagamento. Le cambiali vengono accettate solo previo relativo accordo. I pagamenti tramite cambiale o assegni sono da considerarsi come eseguiti solo al loro incasso. Tutti i costi sopraggiunti sono a carico del cliente. Il cliente rinuncia a rivendicare un diritto di ritenzione derivante da affari precedenti o di altro tipo rispetto al rapporto commerciale in essere. La compensazione di crediti da parte del cliente \u00e8 consentita se tali crediti sono stati da noi riconosciuti e sono stati accertati in scadenza o passati in giudicato. A prescindere da possibili contestazioni o difetti alla consegna, la fattura in questione deve essere pagata alla scadenza. Si avvisa al riguardo che sussiste una collaborazione con agenzie di informazione sul credito.
Riserva di propriet\u00e0<\/strong>: La merce consegnata \u00e8 sottoposta alla riserva di propriet\u00e0 prolungata fino al saldo dei crediti spettanti da contratto. Qualora il cliente sia una persona giuridica di diritto pubblico, un ente di diritto pubblico con patrimonio separato o un intermediario, la riserva di propriet\u00e0 vale anche per il credito a noi spettante in virt\u00f9 delle condizioni di vendita in essere con il cliente. La riserva di propriet\u00e0 perdura, in caso di pagamento con cambiali o assegni, fino al loro completo incasso. Fino ad estinzione della nostra propriet\u00e0, ogni rivendita operata dal cliente vale come se avvenisse tramite un nostro incaricato, senza che da questa derivi un credito esigibile da parte del cliente nei nostri confronti. I nuovi articoli derivanti dalla trasformazione della merce con riserva di propriet\u00e0 da noi consegnata, valgono come prodotti per conto nostro e divengono di nostra propriet\u00e0 senza che da ci\u00f2 scaturisca alcun obbligo nei nostri confronti. Il collegamento, commistione o mescolamento delle merci con riserva di propriet\u00e0 con merci non di nostra appartenenza porta a compropriet\u00e0 con la nostra azienda secondo le disposizioni di legge. Nei suddetti casi, il cliente \u00e8 tenuto a custodire gratuitamente per nostro conto le merci con riserva di nostra propriet\u00e0 o compropriet\u00e0. In caso di vendita della merce con riserva di propriet\u00e0 o sua posa in opera nell\u2019edificio di un terzo o del cliente, il cliente cede gi\u00e0 da subito in nostro favore il credito derivante dalla vendita della merce, dalla sua posa in opera o dalla rivendita del fondo o dei diritti sul fondo per l\u2019ammontare del valore della merce con riserva di propriet\u00e0. Con la presente accettiamo la cessione. Qualora il credito ceduto superi il nostro credito di oltre il 20%, ci impegnamo a svincolare su richiesta l\u2019importo eccedente del credito del cliente. Il cliente \u00e8 inoltre obbligato a metterci a disposizione su nostra richiesta tutte le informazioni e i documenti a tutela dei nostri diritti. Egli \u00e8, in particolare, tenuto a comunicarci nomi e indirizzi dei debitori dei crediti ceduti, avvisando i debitori, su nostra richiesta, della cessione. Il cliente \u00e8, inoltre, obbligato a rilasciarci un documento sulla cessione. La riserva di propriet\u00e0, ai sensi delle precedenti disposizioni, perdura anche qualora i nostri crediti vengano assorbiti dalle fatture aperte e il saldo sia stabilito e riconosciuto. In mancanza della nostra preventiva approvazione, il cliente non pu\u00f2 dare in pegno, n\u00e9 trasferire per motivi di sicurezza le merci con riservadi propriet\u00e0 e i crediti derivanti dalla loro vendita. Egli \u00e8 obbligato a comunicarci immediatamente interventi sulla nostra propriet\u00e0 da parte di terzi, dandoci in particolare immediato avviso di misure di esecuzione forzata ad opera di terzi, con la consegna dei documenti necessari all\u2019opposizione. Con il subentro di protesti di assegni e cambiali, sospensione dei pagamenti, domanda o apertura di insolvenza, decade il diritto all\u2019ulteriore impiego, all\u2019impiego o alla posa in opera della merce con riserva di propriet\u00e0. In caso di comportamento del cliente in violazione delle condizioni di contratto, in particolare per ritardo di pagamento del prezzo di vendita, siamo autorizzati al ritiro secondo la dichiarazione di recesso e il cliente \u00e8 obbligato alla restituzione.
Luogo di adempimento e foro competente<\/b>: Luogo di adempimento per le consegne e i pagamenti \u00e8 la sede legale dell\u2019azienda Agglotech. Qualora il cliente sia intermediario, foro competente \u00e8 il tribunale di Verona oppure, a nostra scelta, il foro generale competente del cliente. Per la consegna al cliente con sede all\u2019estero trova applicazione il diritto italiano.
Sconti<\/b>: Lo sconto che concediamo (sconto su articolo + sconto per pagamento anticipato + bonus) sui listini prezzi in vigore vale solo nel caso in cui vengano rispettate le condizioni di pagamento, effettuando, in particolare, il pagamento delle fatture entro 10 giorni dalla data delle stesse. In caso di ritardato pagamento, sospensione del pagamento, mora o qualora venga aperta una procedura di insolvenza sul patrimonio del cliente, decadono gli sconti e subentra l\u2019ulteriore addebito. Sconti indebitamente detratti, ecc. verranno riaddebitati.
Modifiche ed integrazioni<\/strong>: Modifiche ed integrazioni delle presenti condizioni richiedono la forma scritta. Qualora singole disposizioni dovessero diventare inefficaci, rimane inalterata l\u2019efficacia delle restanti disposizioni. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

The applicable prices are those set out in the price lists in force at the time of order confirmation. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t3.2<\/b> Should documented changes in the cost of raw materials or processing occur between order confirmation and delivery for reasons not attributable to the Seller, the Seller may adjust prices accordingly, providing written notice to the Customer at least 30 days<\/b> in advance. If the increase exceeds 10%<\/b>, the Customer may withdraw from the unfulfilled portion of the contract within 3 days<\/b> of receiving such notice. \n\t\t\t\t\t\t\t\t\t4.1<\/b> Delivery lead times run from the complete definition of the order in terms of specifications and execution, and are to be regarded as indicative only, unless expressly agreed as binding; they are subject to the regular and timely supply of raw materials.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t4.2<\/b> Unless otherwise agreed, delivery terms are EXW (Incoterms\u00ae 2020): the Customer collects the Products from the designated premises on the notified date. Risk passes to the Customer when the Products are made available for collection or, where shipment has been agreed, upon handover to the first carrier. Where shipment has been agreed, it is carried out in accordance with the Customer’s instructions and at the Customer’s risk. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t4.3<\/b> If the Customer fails to collect the Products on the confirmed date, a storage fee of \u20ac20.00<\/b> per week per 1,000 kg shall become payable after 30 days<\/b>, without prejudice to any further damages.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t4.4<\/b> Where a fixed collection or delivery date has been agreed, the Seller shall only be considered in default after a culpable delay of more than 14 days. Once that period has elapsed, the Customer may set a further written extension of 14 days, upon the expiry of which the Customer shall be entitled to withdraw from the contract. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t4.5<\/b> Should the supply of raw materials fail for reasons not attributable to the Seller, the Seller may withdraw from the contract without any obligation to pay compensation, provided it promptly notifies the Customer and reimburses any payments already received.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t5.1<\/b> The obligation to meet delivery deadlines shall be suspended in the event of force majeure or any event not attributable to the Seller, including, by way of example: government or regulatory measures, industrial disputes, machinery breakdowns and failures, transport disruptions, unavailability of raw materials, defective pieces in production, and similar events. The Seller shall promptly notify the Customer. Should the impediment persist for more than 90<\/b> working days, either party may withdraw from the unfulfilled portion of the contract. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t\t\t\t\t6.2<\/b> Where installation is also agreed, the relevant terms and conditions (timelines, costs, liability and warranty for the work performed) shall be set out in the order confirmation or in a separate agreement. In such cases, the installation element may, to that extent, constitute a works contract, governed by the corresponding legal provisions; these Conditions continue to apply in full with regard to the supply of the Products. \t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t\t\t\t\t7.1<\/b> The Products are wholly or partly composed of natural materials. Optical and structural variations from samples \u2014 such as differences in colour, veining and texture \u2014 are inherent to the nature of the material and do not constitute a defect.
